SUBSCRIPTION AGREEMENT (“AGREEMENT”) ENTERED INTO BY AND BETWEEN THE PERSON IDENTIFIED AS THE SUBSCRIBER (“SUBSCRIBER”) AND THE COMPANIES THAT FORM THE COMMERCIAL GROUP KNOWN AS WOBI (“WOBI”), HEREINAFTER JOINTLY REFERRED TO AS THE “PARTIES”, WHO AGREE TO BE BOUND BY THE FOLLOWING:

Statements

The Subscriber declares, under their own responsibility, that:
a)  They are a natural person of legal age, or a duly authorized representative of a legal entity, with full legal capacity and sufficient authority to enter into this Agreement by electronic or other means.
b)  It is their intention to enter into this Agreement with WOBI, and by purchasing the products described herein, they acknowledge and accept the terms and conditions set forth in this Agreement.

WOBI declares, through its representative, that:
a) It is a group of companies operating under different corporate entities authorized to use the WOBI brand, all duly incorporated under the applicable laws of their respective jurisdictions.
b)  It is its intention to enter into this Agreement with the Subscriber.

The Parties acknowledge the truthfulness of the above statements and agree to enter into this Agreement under the following:

Clauses

FIRST.- PURPOSE:  WOBI grants to the Subscriber a personal annual membership that will give the Subscriber access to a wide variety of digital, and physical or face-to-face business content carefully selected by WOBI (“Subscription” or “Membership“). WOBI grants the Subscriber a right to access the services and content of WOBI under the terms provided herein. The Subscriber may access the Subscription through certain devices connected to the internet and, in the case of face-to-face events, through their official identification and/or customer number with which their tickets will be generated.

O Subscritor poderá aceder ao conteúdo presencial da WOBI apenas no país onde estabeleceu a sua Assinatura e ao conteúdo digital nas localizações geográficas onde contratou a sua Assinatura.
WOBI offers Subscriber various membership plans, including the benefits listed on the WOBI website from which Subscriber has purchased their Membership (“Benefits“).

De entre estes Benefícios, a WOBI oferece ao Subscritor a oportunidade de participar no World Business Forum (“WBF“) of the country where the Subscription or its respective renewal was established.

Esclarece-se que a WBF, à qual o Subscritor terá direito a participar, é uma conferência empresarial presencial realizada nos locais e datas indicados no site da WOBI de cada WBF (à qual o Subscritor adquiriu a sua Associação); e cujo acesso será gerado pela WOBI a favor do Subscritor de acordo com as regras, horários e formatos da WBF correspondente, bem como de acordo com a categoria de bilhete que tenha sido adquirida pelo Subscritor.

Nos casos especificamente informados pelo Cliente à WOBI, o utilizador da conta de conteúdos digitais poderá ser diferente da pessoa que utiliza o passe WBF correspondente.

Política de cancelamento e reembolso de adesão e acesso à WBF:
– If a subscriber is unable to attend the WBF of the current year for reasons beyond WOBI’s control, the subscriber may inform WOBI about the change of pass holder at least 5 (five) days in advance of the date of the corresponding WBF. The user will not have any additional rights to refund, credit, courtesy, etc.
– If  Subscriber is unable to attend the WBF of the current year, the Subscriber will have the right to attend the WBF of the following consecutive year (“Next WBF“) together with one (1) other person as companion (courtesy of WOBI), provided that User shall: i) notify WOBI by writing with at least 45 (forty-five) days prior to the date of the corresponding WBF of the current year or ii) renew the membership for the next year
– Memberships are not cancellable, for any reason, if the user has used (attended or transferred) the ticket to the corresponding WBF that was included in the Subscription.
– If the cancellation request has complied with the aforementioned requirements, WOBI will proceed to make the refund no later than 60 (sixty) calendar days after the User has submitted their request.
– In the event that the WBF corresponding to the Subscriber’s Membership is canceled, modified, or cannot take place due to force majeure, unforeseeable circumstances, or events beyond WOBI’s control (including, but not limited to, pandemics, natural disasters, terrorism, civil unrest, or government restrictions), WOBI will not be obligated to provide any refund for the amounts paid by the Buyer/Subscriber in connection with their Membership.
O Subscritor aceita e concorda com todos e cada um dos termos e condições estipulados na presente cláusula, concordando em utilizar os serviços da WOBI de acordo com o disposto no presente documento, bem como com as leis e regulamentos em vigor, ou de acordo com quaisquer restrições à utilização do serviço ou do seu conteúdo.

World Business Forum Membership and access cancellation policy

– If the Subscriber is unable to attend the WBF of the current year for reasons beyond WOBI’s control, they may notify WOBI of a change in the pass holder at least five (5) days prior to the event. In such case, the Subscriber shall not be entitled to any refund, credit, courtesy, or compensation.

– If the Subscriber is unable to attend the WBF of the current year, they may attend the WBF of the following year (“Next WBF”) together with one (1) companion (courtesy of WOBI), provided that they:

i) notify WOBI in writing at least forty-five (45) days prior to the event date; or
ii) renew the Membership for the following year.

– Memberships are not cancellable once the Subscriber has used (attended or transferred) the WBF ticket included in the Subscription.

– If the cancellation request complies with the requirements, WOBI will process the cancellation within sixty (60) calendar days. For the avoidance of doubt, such cancellation shall not entitle the Subscriber to any refund, credit, or compensation.

– In case the WBF is cancelled, modified, or cannot take place due to force majeure or circumstances beyond WOBI’s control, WOBI shall not be obligated to provide any refund or compensation.

The Subscriber agrees to use WOBI services in accordance with applicable laws and these terms.

SECOND.- VALIDITY AND RENEWAL: The Subscription will be valid for 1 (one) year during which the Subscriber will be able to enjoy without restrictions all the benefits and digital and face-to-face services contracted in its plan or membership (“Term“). Subscriber hereby agrees that the Subscription will be automatically and consecutively renewed for unlimited additional terms of 1 (one) year from the end of the Term of each Subscription. In any case, the Subscriber shall have the right to cancel the renewal of his subscription within 30 (thirty) calendar days following the time of renewal of the Term.

THIRD.- PRICE AND FORM OF PAYMENT: The fee for the service that WOBI grants to the Subscriber is established in accordance with the type of Subscription contracted, which will be accepted by the Subscriber at the time of the effective purchase, which must be settled in a single installment, considering of course various forms and/or means of payment that will allow the Subscriber to have various payment methods. The Subscriber accepts and acknowledges that WOBI may carry out promotions and/or marketing campaigns with different discounts and/or prices at its sole discretion, without this generating a right to the Subscriber to receive any type of refund or compensation from WOBI.

Para utilizar ou usufruir dos serviços e benefícios da sua Subscrição, o Subscritor deverá disponibilizar uma ou mais formas de pagamento, tais como cartões de débito, transferências bancárias, cartões de crédito e/ou plataformas intermédias que facilitem as transações e pagamentos ou ainda carteiras eletrónicas aceites pela WOBI (“Método de Pagamento”). Os Métodos de Pagamento aceitos em cada país serão publicados nos sites correspondentes a cada WBF e/ou no site onde a Associação for contratada. O Subscritor autoriza a WOBI a cobrar a sua Subscrição e Renovação utilizando qualquer Método de Pagamento associado à sua conta, mesmo em caso de rejeição ou indisponibilidade do método de pagamento principal. Quaisquer cobranças pendentes serão da responsabilidade do Assinante. Se o pagamento da Subscrição e/ou a sua renovação não puder ser efetuado de forma satisfatória, a WOBI poderá suspender o seu acesso aos serviços e benefícios da Subscrição até que a WOBI obtenha um método de pagamento válido.

Membership for the WOBI service, as well as any other charges incurred by Subscriber in connection with Subscriber’s use of the WOBI service, such as taxes and possible transaction fees, will be charged to Subscriber’s Payment Method on the specific payment date indicated in the Subscription and/or renewal agreement. Subscriber may authorize their Payment Method prior to collection of charges related to the Membership or service through various methods.

A presente Subscrição é adquirida através de um pagamento único, pelo que o Subscritor que tenha efetuado o pagamento terá direito a usufruir dos serviços e/ou benefícios de imediato e durante todo o Período da Subscrição, exceto nos casos de cancelamento ou rescisão antecipada. Na medida do permitido pela lei aplicável e exceto conforme expressamente previsto no presente Contrato, os pagamentos não são reembolsáveis ​​e não será concedido qualquer reembolso ou crédito por períodos de subscrição parcialmente utilizados ou por Benefícios WOBI ou conteúdo não utilizado pelo Subscritor.

As taxas de impostos a cobrar ao Subscritor são baseadas nas taxas aplicáveis ​​no momento da cobrança anual. Estes valores podem mudar ao longo do tempo, dependendo dos requisitos fiscais locais do país, estado, território ou até mesmo da cidade de assinatura. Quaisquer alterações nas taxas de imposto serão aplicadas automaticamente de acordo com as informações da conta fornecidas pelo Subscritor.

É possível que a WOBI altere o preço, o tipo e/ou os benefícios das Subscrições, pelo que, para efeitos de renovação das mesmas, a WOBI notificará o Subscritor de qualquer alteração de preço com uma antecedência razoável. As alterações de preço entrarão em vigor no início do próximo período de Subscrição ou Prazo, após a data da alteração de preço.

Se o Subscritor continuar a utilizar o Serviço WOBI após a alteração de preço entrar em vigor (na renovação), o Subscritor aceita o novo preço, sujeito às leis da matéria. Caso o Subscritor não concorde com a alteração de preço, poderá rejeitá-la cancelando a sua Subscrição, antes da entrada em vigor da alteração de preço.

FOURTH.- USE OF SUBSCRIBER’S PERSONAL DATA:  The Subscriber is responsible for any activity that occurs in the Subscription that it performs with WOBI. To help maintain control over your account and prevent any unauthorized users from accessing your account, you must maintain control over the devices used to access the service, and not disclose to anyone the password or Payment Method details associated with the account. Subscriber agrees to provide and maintain accurate information in connection with his/her account, including a valid email address so that WOBI may send notices to him/her about his/her account.

WOBI may terminate Subscriber’s account or suspend it in order to protect Subscriber, WOBI, or other subscribers to the service from identity theft or other fraudulent activity. 

A WOBI recolhe as seguintes categorias de informações pessoais sobre o Subscritor: 

1. Personal Information:  When the Subscriber creates their WOBI account, WOBI collects their contact information (such as their email address) and authentication information for login (such as their password). Depending on how the Subscriber sets up their account and payment method, and what features they use. In the same way, WOBI collects one or more of the following data from the Subscriber: (i) name and surname, (ii) telephone number, (iii) postal address and (iv) other identifiers provided by the Subscriber, including but not limited to tax data for invoicing, company names, tax identification numbers, powers of attorney, corporate acts, tax records, etc.

2. Payment Information:  WOBI collects Subscriber payment information and other information to process payments, including payment history, billing address, and Payment Methods.
   
3. Usage Information: WOBI collects information about Subscriber’s interaction with the WOBI Service and other information about Subscriber’s use of and interactions with the WOBI Service. 
4. Network and Device Information: WOBI collects information from Subscriber about your computer or any other WOBI-compatible device that you may use to access the WOBI Service, network, and network devices. The information includes the following:
   a) Device ID or other unique identifiers, including for your network devices and WOBI-enabled devices on Subscriber’s network;
   b)  IP addresses (which may be used to determine the Subscriber’s general location, device, city, state/province, and zip code);
   c) Software and device characteristics, the referral source, registration information in the mobile app and in the standard web browser, and connection information, including type;
   d) Performance data, such as crash reports, timestamps, debug log messages; and

5. Communications:  If Subscriber communicates with WOBI, participates in surveys, or submits feedback, WOBI will collect the content of such communications. Similarly, WOBI will collect details of the communications that will be sent to the Subscriber and information about your interactions with these communications. 
6. Privacy rights: The Subscriber has the right to confirm whether or not WOBI processes his/her personal information and to access and receive a copy of his/her personal information that WOBI processes. Similarly, WOBI may correct or update Subscriber’s outdated or inaccurate personal information, or request that the personal information it holds about Subscriber be deleted. 
7.   Retention of personal information:  WOBI retains the Subscriber’s personal information for as long as necessary to provide the service contemplated in this instrument; manage and develop activities; research, analyze, and improve its services; manage our membership plan; protect security and prevent fraud; and comply with the applicable law of the matter. The retention of personal information is based on many factors, such as the Subscriber’s relationship with WOBI; the nature of the personal information; WOBI’s legal obligations; and the need to defend or resolve current or anticipated legal claims.

WOBI is committed to protecting the Subscriber’s personal data. WOBI will implement appropriate technical and organizational measures in order to protect the security of the Subscriber’s personal data. However, it should be noted that no system is completely secure. A WOBI implementou várias medidas de segurança para proteger contra o acesso não autorizado e a retenção desnecessária de dados pessoais nos seus sistemas. FIFTH.- INTERNET PROTOCOL PROTECTION:  WOBI uses browser technology for several reasons, including providing its services; administering and developing its activities; researching, analyzing and improving its services; sending marketing and informational messages; managing its membership plans; protecting security and preventing fraud; and complying with the law.

These technologies allow WOBI to collect personal information when using its services. In addition, WOBI may collect information about the Subscriber’s online activities over time, across different websites.

WOBI uses reconfigurable device identifiers to display marketing communications of its services or content on third-party services and to manage its membership plans. WOBI has reasonable administrative, logistical, physical, and managerial measures in place to protect Subscriber’s personal information from loss, theft, and unauthorized access, use, and modification. These measures are intended to provide an adequate level of security against the risks of processing the Subscriber’s personal information.

SEXTO.- UTILIZAÇÃO DE COOKIES E PROMOÇÕES COMERCIAIS: SA WOBI e as agências de publicidade utilizam cookies, outras tecnologias semelhantes e identificadores de dispositivos reconfiguráveis ​​para diferentes fins.

Os cookies são pequenos ficheiros de dados que são geralmente armazenados no seu dispositivo quando acede a sites e outros serviços online. O texto em um cookie contém uma sequência de números e letras que podem identificar exclusivamente um dispositivo e pode também conter outras informações. Isto permite que o servidor web reconheça o browser sempre que o subscritor se liga a esse servidor.

SÉTIMO.- CONTACTO: Caso o Subscritor tenha alguma dúvida sobre este Contrato, ou sobre a utilização das suas informações pessoais, ou sobre como exercer os seus direitos de privacidade, deverá solicitar tais informações enviando um e-mail para info@wobi.com. Se o Subscritor tiver dúvidas gerais sobre o serviço WOBI, a sua conta ou como contactar o serviço de apoio ao cliente, visite info@wobi.com.

OITAVO.- MODIFICAÇÕES: A WOBI poderá proceder a modificações às Cláusulas do presente Contrato, caso em que a WOBI notificará o Subscritor de tais alterações, por meios razoáveis, antes de estas entrarem em vigor. Além disso, tais alterações não se aplicam a litígios entre o Subscritor e a WOBI que ocorram antes da data de publicação das modificações. A utilização do serviço WOBI após alterações ao Contrato será considerada como aceitação de tais alterações pelo Subscritor. Caso o subscritor deseje deixar de utilizar o serviço WOBI devido a alterações no Contrato, poderá contactar a WOBI para encerrar a sua conta. A data efetiva indicada no início deste documento indica a última data das alterações efetuadas aos Termos deste documento.

NONO.- LEGISLAÇÃO APLICÁVEL. Para a interpretação e cumprimento do presente Contrato, as Partes concordam expressamente em submeter-se às disposições aplicáveis ​​do país de onde a Assinatura foi efetuada, bem como à jurisdição dos tribunais competentes deste local.
